Vendor & Reseller Terms and Conditions Bingwa Sokoni Bundles 1. Introduction These Terms and Conditions govern all Resellers and Vendors operating under Bingwa Sokoni Bundles. By registering, paying any required fees, or using our systems, you agree to be bound by these terms. 2. Reseller Terms (WhatsApp Automation) 2.1 Reseller Definition A Reseller is an individual or business using Bingwa Sokoni Bundles’ WhatsApp automation system to sell bundles and related services. 2.2 One-Time WhatsApp Automation Fee Resellers must pay a one-time, non-refundable fee of KSh 1,000. This fee covers: WhatsApp automation setup Plan creation System onboarding 2.3 Payment Method Payment is made via M-Pesa PayBill 4026843 Account Number: Reseller’s Phone Number 2.4 No Refund Policy (Resellers) The KSh 1,000 WhatsApp automation fee is strictly non-refundable. Once automation is created and activated, no refunds or reversals will be issued. 3. Vendor Terms (Bundles Resellers) 3.1 Vendor Definition A Vendor is an advanced reseller authorized to sell bundles using Bingwa Sokoni Bundles’ device-based system. 3.2 Vendor Onboarding Fee Vendors must pay a one-time, non-refundable fee of KSh 12,000. This fee includes: A rooted Android phone Pre-installed bundles application System configuration Vendor onboarding and activation 3.3 Vendor Line Onboarding The vendor must provide their own SIM line, which will be: Onboarded into the system Linked to the rooted phone and application The vendor is responsible for maintaining the line in active condition. 3.4 Ownership & Usage The rooted phone and app are provided strictly for Bingwa Sokoni Bundles operations. Misuse, tampering, or unauthorized modifications are strictly prohibited. 3.5 No Refund Policy (Vendors) The KSh 12,000 vendor onboarding fee is strictly non-refundable once the phone, app, or system access has been issued. 4. General Responsibilities (Resellers & Vendors) All resellers and vendors agree to: Use the system lawfully and ethically Avoid fraud, misuse, or abuse Enter correct customer phone numbers Protect login credentials and devices Maintain the reputation of Bingwa Sokoni Bundles 5. Suspension or Termination Bingwa Sokoni Bundles reserves the right to suspend or terminate any reseller or vendor account if: Fraud or suspicious activity is detected These terms are violated System misuse or reputational damage occurs No compensation or refund shall be payable upon termination. 6. Limitation of Liability Bingwa Sokoni Bundles shall not be liable for: Network failures or telco-related issues Delays beyond system control Losses caused by incorrect numbers or vendor/reseller errors 7. Changes to Terms Bingwa Sokoni Bundles may revise these Terms and Conditions at any time. Continued use of the platform constitutes acceptance of updated terms. 8. Governing Law These Terms shall be governed by the laws of the Republic of Kenya. 9.
